This End-User License Agreement ("EULA") is a legal agreement between you and Cenex Pty Ltd (ABN 28 630 572 315), trading as Synthetik ("we", "our", or "us"), governing your installation and use of our desktop software products, including Trinity (Tx1), Spark, and Tex (the "Software"). This EULA applies together with our Terms of Service and Privacy Policy.
By installing, activating, or using the Software — or by clicking "Accept" where this agreement is presented at installation or first launch — you agree to be bound by this EULA. If you do not agree, do not install or use the Software.
Where a product presents a EULA in-product, the version you accept in-product governs your use of that product version. If you are accepting on behalf of a business or organisation, you represent that you have authority to bind that entity.
Subject to this EULA, the Terms of Service, and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on the number of devices permitted by your license type, for your internal business or personal purposes.

The Software is activated with a license key tied to your account or email address. You are responsible for keeping your license key confidential, and for all use of the Software under your key. Activation and periodic license validation may require an internet connection. License keys may not be shared, sold, or transferred without our prior written consent.
Trial licenses are provided for evaluation purposes only and are subject to the free-trial terms in Section 4.6 of our Terms of Service. Trial licenses expire automatically at the end of the trial period, are limited to one trial per person or organisation per product, and may be modified or withdrawn at any time.
We may provide updates, patches, or new versions of the Software at our discretion. Some updates may be required for continued use. This EULA applies to all updates unless an update is accompanied by a replacement agreement.
The Software is licensed, not sold. All intellectual property rights in the Software remain the exclusive property of Cenex Pty Ltd trading as Synthetik. The Software may include third-party or open-source components that are governed by their own license terms; those terms apply to those components to the extent of any inconsistency with this EULA.
You retain ownership of all data, files, estimates, and other outputs you create using the Software. Files created with the Software are stored on your own device unless you choose otherwise, and you are responsible for backing them up.
The Software is a professional tool. Outputs are generated from the data, rates, quantities, assumptions, and settings that you provide or select, and do not constitute professional advice. You are solely responsible for reviewing and verifying outputs before relying on them, as set out in Section 9 of the Terms of Service.
The Software may transmit limited information for license activation and validation (such as your license key and device identifier). Our handling of personal information is described in our Privacy Policy.
Subject to the Australian Consumer Law, and to the maximum extent permitted by law, the Software is provided "as is" without warranties of any kind, and we do not warrant that it will be uninterrupted or error-free.
Our software comes with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). Nothing in this EULA excludes, restricts, or modifies any consumer guarantee or any right or remedy you may have under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement. Section 13 of the Terms of Service applies to this EULA.
The limitations and exclusions of liability in Section 10 of the Terms of Service apply to this EULA. Subject to the Australian Consumer Law, and to the maximum extent permitted by law, our total liability in connection with the Software shall not exceed the amount you paid for the Software in the 12 months preceding the claim.
This EULA is effective until terminated. It terminates automatically if you materially breach it and fail to remedy the breach within 14 days of notice, or when your license or subscription ends in accordance with the Terms of Service. On termination you must cease all use of the Software and delete all copies. Sections 7, 8, 10, 11, and 13 survive termination.
This EULA is governed by the laws of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland, Australia.
